These Terms and Conditions (the "Agreement") govern your access to and use of the website located at www.techifice.com (the "Site") and any services provided by Techifice Technologies ("Techifice", "we", "us" or "our"). By accessing or using the Site or engaging our services, you agree to be bound by this Agreement. If you do not agree with these terms, do not use the Site or our services.

1. Acceptance of Terms

By using the Site or our services, you confirm that you are at least eighteen (18) years old and legally capable of entering into binding agreements. You agree to comply with and be bound by this Agreement and any other additional terms, policies, or guidelines that we post on the Site and incorporate by reference.

2. Use of the Website

The Site is provided for informational purposes and to enable potential clients to learn about and engage our services. We grant you a limited, non-exclusive, non-transferable license to access and use the Site in accordance with this Agreement.

3. Products and Services

Techifice is a digital venture studio and product development agency that provides services including but not limited to: web and mobile application development, branding and design, digital marketing, e-commerce solutions, enterprise software (ERP/CRM/CMS), AI and automation, blockchain and cloud services, and staff augmentation. Specific service scopes, deliverables, timelines, and payment terms are set out in separate statements of work, proposals, or contracts ("Service Agreements") signed by Techifice and the client.

4. Accounts

The Site does not provide general user accounts for the public. If a Service Agreement requires any user credentials, access control, or project-specific accounts, those will be governed by the relevant Service Agreement.

5. Payments & Billing

We accept payments using approved payment processors (for example, Paystack) and other methods agreed in writing with the client. Fees are invoiced according to the schedule in the proposal or invoice and are due within the specified timeframe. Late payments may incur interest or suspension of services.

6. Subscriptions and Installment Payments

Techifice does not operate a subscription model for general services. In limited cases, we may agree to installment or milestone payment arrangements documented in the Service Agreement. Such arrangements do not constitute a recurring subscription unless explicitly described in the Service Agreement.

7. Refunds & Cancellations

Refunds are handled on a case-by-case basis and governed by the applicable Service Agreement. Generally, fees paid for services are non-refundable once work has commenced, unless otherwise agreed. Either party may terminate a Service Agreement in accordance with its provisions; clients remain liable for fees for work performed up to termination.

8. Intellectual Property

Unless otherwise agreed in writing, Techifice retains ownership of pre-existing intellectual property, methodologies, tools and know-how ("Techifice IP"). Clients own final deliverables expressly commissioned and paid for, subject to full payment. Techifice grants a license to embedded Techifice IP necessary to use the deliverables for internal business purposes.

9. User Conduct and Restrictions

You agree to use the Site and our services in compliance with all applicable laws. You are responsible for your conduct and any content provided during a project and must ensure you hold rights to such content.

10. User-Generated Content

If you provide content (logos, text, images), you represent you have the necessary rights and grant Techifice a licence to use, reproduce and modify that content to perform the Service Agreement.

11. Third-Party Links and Services

The Site may contain links to third-party websites. Techifice is not responsible for third-party content or policies. Interactions with third parties are solely between you and that third party.

12. Disclaimer of Warranties

The Site and services are provided "as is" and "as available" without warranties. Techifice disclaims all implied warranties to the fullest extent permitted by law.

13. Limitation of Liability

Techifice's aggregate liability is limited to fees paid to Techifice under the applicable Service Agreement during the twelve (12) months preceding the claim. Techifice is not liable for indirect, incidental, special, consequential or punitive damages.

14. Indemnification

You agree to indemnify Techifice and its representatives from claims arising out of your breach of this Agreement, violation of law, or use of the Site.

15. Termination

Techifice may suspend or terminate access for violations or non-payment. Provisions that by nature survive termination (intellectual property, limitation of liability, indemnity) continue in effect.

16. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the Federal Republic of Nigeria. Disputes should first be attempted to be resolved by negotiation; unresolved disputes may be brought in the courts of Nigeria unless a Service Agreement specifies otherwise.

17. Changes to Terms

We may modify these Terms occasionally. Material changes will be posted with an updated date. Continued use constitutes acceptance.
