Terms and Conditions

These Terms and Conditions (the "Agreement") govern access to and use of www.techifice.com (the "Site") and services provided by Techifice Technologies ("Techifice", "we", "us", or "our"). By using the Site or services, you agree to this Agreement. If you do not agree, do not use them.
Acceptance of Terms
You confirm that you are at least eighteen (18) years old and legally capable of entering binding agreements. You agree to this Agreement and other terms, policies, or guidelines posted on the Site.
Use of the Website
The Site is provided for information and to enable potential clients to learn about and engage our services. We grant a limited, non-exclusive, non-transferable licence to use it in accordance with this Agreement.

Products and Services
Techifice provides web and mobile application development, branding and design, digital marketing, e-commerce, enterprise software, AI and automation, blockchain, cloud services, and staff augmentation. Service scopes, deliverables, timelines, and payment terms are set out in signed statements of work, proposals, or contracts ("Service Agreements").
Accounts
The Site does not provide general public accounts. Project-specific credentials or accounts required by a Service Agreement are governed by that agreement.
Payments & Billing
We accept approved processors such as Paystack and methods agreed in writing, including bank transfer and card. Processors have their own terms and process cardholder data directly. Unless a Service Agreement says otherwise, invoices are due within the timeframe on the invoice. Late payments may incur interest or suspension as specified in the Service Agreement; clients are responsible for applicable taxes and third-party fees.
Subscriptions and Installment Payments
Techifice does not operate a subscription model for general services. Installments or milestone payments must be documented in a Service Agreement and are not recurring subscriptions unless expressly described as such.
Refunds & Cancellations
Refunds are case-by-case and governed by the applicable Service Agreement. Fees are generally non-refundable once work has commenced unless agreed otherwise. Either party may terminate in accordance with the Service Agreement; the client remains liable for work completed and non-cancellable commitments.
Intellectual Property
Unless agreed otherwise, Techifice retains pre-existing IP, methodologies, tools, templates, libraries, frameworks, and know-how, while the client owns final deliverables expressly commissioned and paid for. Embedded Techifice IP is licensed non-exclusively, worldwide, royalty-free, solely as part of the deliverables for internal business purposes. Ownership transfer requires full payment. Third-party materials remain subject to their own licences.
User Conduct and Restrictions
You must comply with applicable law and these Terms. You are responsible for content provided during a project and may not submit content that infringes rights or is unlawful, defamatory, obscene, or objectionable.
User-Generated Content
You represent that you have rights to logos, text, images, and other materials supplied to Techifice and grant a licence to use, reproduce, modify, and display them to perform the Service Agreement. Techifice may refuse violating content.
Third-Party Links and Services
The Site may link to third-party websites, services, or resources. Techifice is not responsible for their content, privacy practices, or terms.
Disclaimer of Warranties
The Site and services are provided "as is" and "as available" without warranties. To the fullest extent permitted by law, Techifice disclaims warranties including merchantability, fitness, title, and non-infringement and does not warrant uninterrupted, error-free, or harmless operation.
Limitation of Liability
To the fullest extent permitted by law, aggregate liability for claims related to this Agreement or use of the Site or services will not exceed fees paid under the applicable Service Agreement in the twelve months before the claim. Techifice is not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, revenue, data, or goodwill.
Indemnification
You agree to indemnify, defend, and hold harmless Techifice, its affiliates, officers, directors, employees, agents, and representatives from claims, losses, damages, liabilities, costs, and reasonable attorneys' fees arising from your breach, violation of law or third-party rights, or use of the Site or services.
Termination
Techifice may suspend or terminate access for any reason, including breach or non-payment. Service Agreement termination follows that agreement. Provisions that naturally survive, including IP, liability, indemnity, and confidentiality, continue.
Governing Law and Dispute Resolution
This Agreement is governed by the laws of the Federal Republic of Nigeria. Service Agreements selecting another law control for those services. Disputes will first be addressed through good-faith negotiation; unresolved disputes may be pursued in competent courts in Nigeria.
Changes to Terms
We may modify these Terms. Material changes will update the date and may receive additional notice. Continued use after posting accepts the revised Terms.
Severability
If a provision is invalid or unenforceable, the remainder remains in force to the maximum extent permitted by law.
Entire Agreement
These Terms, Service Agreements, and incorporated Site policies are the entire agreement about the Site and services and supersede prior agreements.
